These Terms of Service (“Terms”) govern your access to and use of our website and any SMB offerings, including memberships, events (in-person and virtual), digital content, community spaces, communications, and related services (collectively, the “Services”).
By accessing, browsing, registering, purchasing, or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. DEFINITIONS
For clarity in these Terms:

“Member” means any person with an active SMB membership.

“Event” means any SMB in-person or virtual gathering, workshop, networking, conference, meeting, session, or similar.

“Digital Content” means any downloadable or accessible content (videos, recordings, templates, guides, posts, course materials, PDFs, emails, member resources, or similar).

“Community Spaces” means any SMB-operated or SMB-hosted groups, chat spaces, forums, member portals, social communities, or platforms (including third-party platforms used to host community features).

“User Content” means any content you submit, post, share, upload, or otherwise provide through Services, including posts, comments, photos, videos, testimonials, or feedback.

“Third-Party Services” means tools or services not owned by SMB (payment processors, email platforms, event platforms, ticketing tools, analytics tools, etc.).

2. ELIGIBILITY; ACCOUNT RESPONSIBILITY
2.1 Age & Capacity
You must be at least 18 years old and legally able to enter into binding agreements to use our Services.
2.2 Account Accuracy
If you create an account or register for Services, you agree to provide accurate and current information and to keep it updated.
2.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. Notify us immediately of unauthorized access.
3. SCOPE OF SERVICES; NO PROFESSIONAL ADVICE
SMB provides networking, education, events, and community support for women entrepreneurs.
SMB does not provide legal, tax, accounting, medical, mental health, or financial advice. Any information provided through Services is for general informational purposes only. You are responsible for seeking professional advice appropriate to your situation.
4. MEMBERSHIPS
4.1 Membership Terms
Membership tiers, inclusions, benefits, pricing, and access are described at checkout or within the membership description. SMB may offer different membership options in different locations or at different times.
4.2 Membership Changes
We may modify membership features, benefits, pricing, or structures to improve Services, comply with law, or respond to operational needs. We will make reasonable efforts to notify Members of material changes, but SMB reserves the right to implement changes at any time.
4.3 Access Limits
Membership access is for individual use unless explicitly stated otherwise. You may not share login credentials, member-only links, recordings, or protected content outside the membership.
4.4 Suspension/Termination
SMB may suspend or terminate membership access if you violate these Terms, fail to pay, engage in harmful conduct, or misuse the community.
5. EVENTS; TICKETS; ADMISSIONS; CHANGES
5.1 Event Registration
Events may require registration, tickets, RSVP, or membership status. Registration is not complete until payment (if applicable) is confirmed.
5.2 Event Changes
SMB may change event dates, venues, schedules, topics, speakers, formats, and capacity for any reason, including safety, availability, weather, or operational needs.
5.3 Admission & Removal
SMB may refuse admission or remove any participant for disruptive behavior, safety concerns, harassment, discrimination, intoxication, illegal conduct, or violation of community guidelines—without refund.
5.4 Travel & Personal Costs
You are responsible for your own travel, lodging, and related costs. SMB is not responsible for third-party costs you incur even if an event changes.
6. COMMUNITY GUIDELINES; CODE OF CONDUCT
SMB is committed to a safe, respectful environment. You agree not to:

Harass, threaten, intimidate, stalk, or abuse any person

Discriminate based on protected characteristics

Post hate speech, sexually explicit content, violent content, or illegal content

Disrupt events or community spaces
-
Spam, solicit, or promote unrelated services without permission

Collect personal data of members without consent

Share confidential member information

Attempt to bypass access controls or platform security
SMB may moderate, remove content, restrict access, or ban users to maintain community safety.
7. USER CONTENT; COMMUNITY SHARING
7.1 Your Responsibility
You are solely responsible for any User Content you post or share. You represent and warrant that you have rights to your User Content and that it does not violate law or third-party rights.
7.2 License to SMB
By submitting User Content, you grant SMB a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and adapt the content for operating, marketing, and improving Services—unless you clearly indicate otherwise in writing and SMB agrees.
7.3 Testimonials
If you provide testimonials, feedback, or success stories, you agree SMB may use them for promotional purposes (unless you opt out in writing).
8. PHOTO/VIDEO/RECORDING RELEASE
SMB may photograph, film, or record events and community sessions. By attending an SMB event or participating in Services, you grant SMB permission to use your likeness, voice, name, and image in recordings and promotional materials, including social media, website, and marketing, without compensation.
Opt-Out: If you wish to opt out, you must notify SMB in writing before the event. We will make reasonable efforts to accommodate, but we cannot guarantee exclusion from all incidental background capture.
9. INTELLECTUAL PROPERTY
All SMB branding, logos, text, designs, website content, event materials, and Digital Content are owned by SMB or licensed to SMB and protected by intellectual property laws.
You may not:

Copy, sell, distribute, or share member-only content

Reproduce SMB materials for commercial use without written permission

Create derivative works from SMB content

Use SMB trademarks without consent
10. PROHIBITED USES
You agree not to:

Use Services for illegal purposes

Interfere with site security or functionality

Attempt unauthorized access to accounts, systems, or data

Scrape or harvest data from the website

Misrepresent your identity, affiliation, or business

Use Services to compete by repackaging SMB materials
11. PAYMENTS; BILLING; TAXES
11.1 Payment Processing
Payments are processed through third-party payment providers. SMB does not store full payment card data.
11.2 Authorization
By submitting payment details, you authorize SMB to charge all applicable fees, including taxes and add-ons you approve.
11.3 Subscription Billing (If Applicable)
If you purchase a recurring membership, you authorize recurring charges according to the plan selected until you cancel pursuant to cancellation rules.
11.4 Taxes
You are responsible for applicable taxes unless otherwise stated.
12. CANCELLATIONS; REFUNDS; CREDITS (SUMMARY)
Refund terms are governed by our Return & Refund Policy (below). Unless required by law, purchases are generally non-refundable due to planning, capacity limits, and digital delivery.
13. THIRD-PARTY SERVICES
SMB may use or link to third-party platforms (ticketing, video hosting, email, community platforms). SMB is not responsible for their actions, outages, policies, or privacy practices.
14. DISCLAIMERS
14.1 “As Is”
Services are provided “as is” and “as available.” We do not guarantee uninterrupted access or that Services will meet your expectations.
14.2 No Guaranteed Outcomes
SMB does not guarantee business growth, revenue, clients, partnerships, or specific results.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by law:

SMB is not liable for indirect, incidental, special, consequential, or punitive damages.

SMB’s total liability for any claim will not exceed the amount you paid to SMB in the 12 months prior to the event giving rise to the claim (or $100, whichever is greater), unless prohibited by law.
Some states do not allow certain limitations; if so, those limits may not apply to you.
16. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless SMB and its officers, employees, contractors, venues, and partners from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

Your use of Services

Your violation of these Terms

Your User Content

Your conduct at events or within community spaces
17. ARBITRATION; GOVERNING LAW; VENUE
17.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
17.2 Arbitration
Except where prohibited, disputes shall be resolved by binding arbitration in Harris County, Texas, under applicable arbitration rules. Either party may seek injunctive relief for intellectual property misuse.
17.3 Class Action Waiver
To the fullest extent permitted by law, disputes will be handled on an individual basis, not as a class action.
(If you want, I can add an “opt-out of arbitration within 30 days” clause that many U.S. companies include to strengthen enforceability.)
18. CHANGES TO TERMS
We may update these Terms at any time. The updated version will be posted with a revised Effective Date. Continued use constitutes acceptance.

RETURN & REFUND POLICY
She Means Business
Effective Date: October 8, 2025
Because SMB provides time-sensitive events, capacity-limited programming, and digital resources, the following rules apply.
1. GENERAL POLICY
Unless otherwise required by law, all purchases are final and non-refundable.
This includes:

Membership fees
-
Event tickets and registrations
-
Add-on services
-
Digital content access
2. MEMBERSHIPS
2.1 Billing
Memberships may be billed monthly, quarterly, or annually, depending on plan selection.
2.2 Cancellation
Cancellation stops future billing at the end of the current billing cycle unless a plan states otherwise. Previously processed payments are non-refundable.
2.3 Membership Access
If you cancel, you may retain access until the end of the paid period unless access is terminated for misconduct.
3. EVENTS
3.1 Missed Events
No refunds for missed events, no-shows, or unused tickets.
3.2 SMB Cancellation
If SMB cancels an event, SMB may offer one of the following (at SMB’s discretion):

Transfer to a rescheduled date

A credit toward a future SMB event
-
Partial or full refund only if required or explicitly stated
3.3 Event Changes
Schedule/venue/speaker changes do not automatically qualify for refunds.
4. DIGITAL CONTENT
All digital resources (recordings, downloads, templates, member libraries) are non-refundable once access is granted.
5. BILLING ERRORS
Refunds may be issued for verified duplicate charges or billing errors caused by our payment system.
You must notify SMB within 7 business days of the charge.
6. CHARGEBACKS
If you file a chargeback without contacting SMB first, SMB may:

Suspend membership access

Revoke community access
-
Provide documentation to the processor
-
Pursue collection if the chargeback is fraudulent or violates these Terms
